This Membership Subscription Agreement (the “Agreement”) is entered into by and between IntoPickleball, LLC (“IntoPickleball”, “we”, “us”, or “our”) and you (“Sub- scriber”, “you”, or “your”), collectively referred to as the “Parties”. This Agreement governs your subscription to the IntoPickleball membership (the “Membership”) and is effective as of the date you complete your subscription registration (the “Ef- fective Date”). This Agreement is drafted in accordance with the laws of the State of California.

1. Membership Subscription

1.1. Subscription Overview

By subscribing to the Membership, you gain access to premium digital and ex- periential services provided by IntoPickleball.com (collectively, the “Services”), in- cluding:

• Gold Member access to Pickleball TV, featuring exclusive live streams and on-demand pickleball content;
  • Curated pickleball music playlists;
  • Expert pickleball-related content, including stories, tips, and tricks;
  • The Pickle Squared blog and podcast;
  • Exclusive discounts, offers, and promotions from our partners, with new of- fers added throughout the year;
  • Travel offers tailored for pickleball enthusiasts;
  • Invitations to special pickleball-related events;
  • Pickle Points, earned by sharing content and redeemable toward partner offers;

• Access to “Holding Court – Find Your Court” (coming soon), a feature to locate pickleball courts; and
  • A complimentary IntoPickleball gift, as described in Section 1.4.

The Membership is provided on an annual basis, subject to the terms and condi- tions of this Agreement.

1.2. Free Trial Period

IntoPickleball offers a 30-day free trial period (the “Free Trial Period”) commenc- ing on the Effective Date. During this period, you may access the Services at no charge. You may cancel your Membership at any time during the Free Trial Pe- riod without incurring any fees, as outlined in Section 3. Pursuant to California Business and Professions Code Section 17602, you will be notified of the end of the Free Trial Period and the upcoming charge at least seven (7) days prior to the expiration of the trial.

1.3. Annual Fee

Upon expiration of the Free Trial Period, your Membership will automatically re- new for a one-year term (the “Subscription Term”) unless cancelled in accordance with Section 3. Your designated payment method will be charged the annual sub- scription fee (the “Annual Fee”) as displayed at the time of subscription, plus any applicable taxes, on or after the expiration of the Free Trial Period. The Annual Fee is non-refundable except as provided in Section 3.2 or as required by Califor- nia law.

1.4. Complimentary Gift

As a benefit of your Membership, you are eligible to receive a complimentary In- toPickleball gift (the “Gift”) after the Free Trial Period ends, provided your Mem- bership remains active and you have not cancelled. The Gift will be shipped to the address provided during subscription within 30 days of the Free Trial Period’s expiration, subject to availability. IntoPickleball reserves the right to substitute the Gift with an item of comparable value at its sole discretion. The Gift is non- transferable, non-refundable, and has no cash value. Shipping is limited to ad- dresses within the United States.

1.5. Promotional Offers

IntoPickleball may offer promotional discounts or codes (“Promotional Offers”) that reduce the Annual Fee. You may apply a valid promotional code during the subscription process. Promotional Offers are subject to additional terms provided

at the time of the offer and may be modified or terminated at IntoPickleball’s dis- cretion, with notice as required by California law.

2. Payment Terms

2.1. Payment Authorization

By subscribing, you authorize IntoPickleball or its third-party payment processor to charge your designated payment method for the Annual Fee, applicable taxes, and any other fees. You represent and warrant that you have the legal right to use the payment method provided. If your payment method fails, IntoPickleball may suspend your access to the Services until payment is successfully processed, as permitted under California law.

2.2     2.2 Automatic Renewal

Unless cancelled, your Membership will automatically renew for successive one- year Subscription Terms at the then-current Annual Fee, which may be adjusted with prior notice. Pursuant to California Business and Professions Code Section 17600 et seq., IntoPickleball will provide clear and conspicuous notice of the auto- matic renewal terms at the time of subscription and will notify you of any material changes to the Annual Fee or Agreement at least 30 days prior to renewal.

2.3. Taxes

The Annual Fee is exclusive of applicable federal, state, or local taxes (“Taxes”). You are responsible for paying all Taxes associated with your Membership, except for taxes based on IntoPickleball’s income, as required by California Revenue and Taxation Code.

3. Cancellation and Refunds

3.1. Cancellation During Free Trial Period

You may cancel your Membership at any time during the Free Trial Period by ac- cessing your account settings on IntoPickleball.com or by contacting customer support at support@intopickleball.com. If cancelled during the Free Trial Period, you will not be charged the Annual Fee, and your access to the Services will ter- minate at the end of the trial. Cancellation instructions will be provided clearly at signup, in compliance with California Business and Professions Code Section 17602.

3.2. Refunds

If you cancel during the Free Trial Period, any charges made for the Annual Fee will be fully refunded within 14 business days. After the Free Trial Period, the Annual Fee is non-refundable, except as required by California law, including California Civil Code Section 1679.5 for consumer protection. If you receive the Gift and subsequently request a refund, the retail value of the Gift may be deducted from any refund, at IntoPickleball’s discretion.

3.3. Post-Trial Cancellation

You may cancel your Membership after the Free Trial Period by following the can- cellation process in Section 3.1. Cancellation will take effect at the end of the cur- rent Subscription Term, and you will retain access to the Services until that term ends. No prorated refunds will be issued for post-trial cancellations, except as required by law.

4. Subscriber Obligations

4.1. Account Information

You agree to provide accurate, current, and complete information during sub- scription and to update such information as necessary. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account, as required by California’s Online Privacy Protection Act.

4.2. Use of Services

You agree to use the Services in compliance with applicable California and fed- eral laws, including California’s Consumer Privacy Act, and in accordance with In- toPickleball’s Terms of Use and Privacy Policy, incorporated herein by reference. You may not share or distribute the Services to third parties without IntoPickle- ball’s prior written consent.

5. Termination

IntoPickleball may suspend or terminate your Membership, with notice as re- quired by California law, if you breach this Agreement, engage in unauthorized use of the Services, or for other reasons at IntoPickleball’s discretion. Upon ter- mination, you will lose access to the Services, and no refunds will be issued except as required by law. If terminated, you will not be eligible to receive or retain the Gift.

6. Limitation of Liability

To the fullest extent permitted by California law, IntoPickleball, its affiliates, offi- cers, directors, employees, or agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising from your use of the Services or this Agreement. IntoPickleball’s total li- ability shall not exceed the total amount paid by you for the Membership during the preceding 12 months, as governed by California Civil Code Section 1717.

7. Governing Law and Dispute Resolution

This Agreement is governed by the laws of the State of California, without regard to its conflict of law principles. Any disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in Los Angeles, California, as permitted by California Code of Civil Pro- cedure Section 1280 et seq. You may opt out of arbitration for certain claims un- der California’s consumer protection laws by contacting us within 30 days of the Effective Date.

8. Modifications to the Agreement

IntoPickleball may modify this Agreement with at least 30 days’ notice, provided via email or on IntoPickleball.com, as required by California Business and Pro- fessions Code Section 17602. Continued use of the Services after such changes constitutes your consent to the revised Agreement.

10. Entire Agreement

This Agreement, together with the Terms of Use and Privacy Policy, constitutes the entire agreement between you and IntoPickleball with respect to the Membership and supersedes all prior agreements, whether written or oral, as governed by California law.

By subscribing, you acknowledge that you have read, understood, and agree to be bound by this Agreement.
